Acceptance of Terms and Contract Framework
This Terms of Service Agreement (“Agreement”) establishes the legal framework and relationship between Thatcher Lewis, LLC (“Service Provider,” “we,” or “our”) and the recipient organization, agency, or individual (“Client,” “you,” or “your”). By accessing our website (thatcherlewis.com) or engaging our professional training, coaching, and consulting services, you agree to be legally bound by these terms. If you do not agree to these terms, you must abstain from using our services.
Scope of Services and Performance of Duties
Thatcher Lewis provides specialized leadership development, culture enhancement, and accountability training tailored to law enforcement, fire departments, EMS, and public administration. We represent and warrant that we will perform these consulting and training services competently, carefully, and in a fully professional manner that conforms to high industry standards of work and business ethics. All training engagements include a collaborative customization process beginning with a discovery call to review your agency's policies, identify high-risk scenarios, and tailor role-specific exercises to meet your unique operational challenges.
Client Obligations and Hosting Logistics
For in-person training engagements, the hosting agency is required to provide adequate logistics and facilities, specifically including a classroom space, a PowerPoint projector, and a stable WiFi connection. Clients are also responsible for the timely payment of all amounts earned by the Service Provider under this Agreement. Payments can be handled via invoicing or pay-on-site options, but all financial obligations must be settled by prior arrangement before the start of the course.
Intellectual Property and Proprietary Rights
Thatcher Lewis retains all right, title, and interest in and to any preexisting proprietary methodology, training materials, presentations, scenarios, situational algorithms, and know-how used or created in the performance of these services (“Service Provider Intellectual Property”). You are granted a limited, fully paid-up, non-exclusive license to utilize these deliverables solely for the internal professional development of your personnel.
You strictly may not share, resell, decompile, reverse engineer, or redistribute our training materials without our express written permission. Furthermore, you may not use our services, proprietary information, or materials for any revenue-generating endeavor, commercial enterprise, or unauthorized commercial purpose.
Certifications and Continuing Education (POST) Disclaimer
Thatcher Lewis courses are designed to reflect the highest standards of public safety leadership; however, we do not directly issue Peace Officer Standards and Training (POST) or state-level continuing education credits. Individual agencies are responsible for submitting the training for local or state approval; see our POST and continuing education overview for details. To fully support this process, we will provide your training unit with comprehensive documentation, including specific learning objectives, training hours, instructor biographies, course outlines, and assessments. We also issue completion certificates for your personnel files and departmental audits.
User Conduct and Professional Standards
While participating in our programs or interacting with our digital platforms, you agree that your conduct will not violate any applicable law, regulation, or the privacy and publicity rights of any third party. You must not misrepresent your identity or agency affiliation, nor may you interfere with or disrupt our services and networks. Participants must maintain professional decorum at all times; any offensive comments or conduct connected to race, religion, national origin, gender, sexual orientation, or disability are strictly prohibited and will be considered a material breach of this Agreement.
Limitation of Liability and Indemnification
Our services provide educational frameworks, communication models, and leadership strategies based on best practices and case studies. We do not provide formal legal advice, and our training does not supersede your municipal, state, or federal laws. You are solely responsible for how you apply these strategies in the field.
You expressly agree to indemnify, reimburse, and hold harmless Thatcher Lewis, LLC against all losses, damages, or expenses (including reasonable attorney's fees) that we may suffer due to your breach of this Agreement, your violation of any third-party intellectual property rights, or your failure to comply with applicable laws.
